Terms of Service

Effective date: [EFFECTIVE_DATE — set before publishing]

These terms govern use of the Tervano platform, provided by [LEGAL_ENTITY_NAME]. They have not yet been reviewed by a qualified lawyer and should be treated as a draft pending that review before being relied on as final.

1. Account registration

You must provide accurate information when creating a dealership account and keep your login credentials confidential. You're responsible for activity that occurs under your account, including actions taken by team members you invite.

2. Acceptable use

You agree to use Tervano only for lawful dealership business purposes, and not to misuse the platform to send unsolicited communications, misrepresent vehicle information, or violate a customer's rights. See our Acceptable Use Policy for detail.

3. Subscriptions and billing

Paid plans are billed on a recurring basis as described at checkout. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.

4. Your responsibilities as a dealership

You are responsible for the accuracy of vehicle and dealership information entered into Tervano, for reviewing AI-generated responses sent on your behalf, and for complying with your own legal obligations to your customers, including data protection and consumer protection law. Tervano assists your communication — it does not replace your legal responsibility for what is ultimately said to your customers.

5. Customer data

As between you and Tervano, you remain the controller of your own customers’ personal data processed through Tervano. Our processing of that data on your behalf is governed by our Data Processing Agreement.

6. AI functionality

Tervano's AI features are designed to answer only from information you provide and to hand off conversations requiring judgement to your team. AI-generated output may nonetheless be incomplete or, rarely, incorrect. You are responsible for reviewing AI-assisted conversations and correcting or overriding any response your business would not stand behind. AI is not guaranteed to be error-free, and Tervano makes no claim that it is.

7. Third-party integrations

Tervano may integrate with third-party services (for example, AI providers, payment processing, and email delivery). Your use of those integrations is also subject to the relevant third party's own terms.

8. Availability

We aim to keep Tervano available and reliable but do not guarantee uninterrupted service. We will provide reasonable notice of planned maintenance where practical.

9. Intellectual property

Tervano retains all rights in the platform itself. You retain all rights in your own dealership, vehicle and customer data.

10. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these terms.

11. Security

We maintain reasonable technical and organisational measures to protect data processed through Tervano, including database-level isolation between dealership accounts.

12. Termination

Either party may terminate for the other's material breach that remains uncured after 30 days’ written notice. We may suspend access immediately for actual or suspected misuse that risks the platform's security or other customers’ data.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Each party's total liability under these terms is limited to fees paid in the twelve months preceding the claim, except for liability that cannot be limited by law.

14. Governing law

These terms are governed by the laws of Ireland, without regard to conflict-of-law principles.
